Key Data Master Terms & Conditions

1. Introduction

These Master Terms & Conditions (“Terms”) govern all access to and use of Key Data Dashboard (“Key Data”) products and services, including data dashboards, APIs, PMS-integrated services, and flat‑file data delivery.

These Terms apply to all customers unless superseded by a separately executed written agreement.

2. Relationship to Other Agreements

2.1 Enterprise/DMO Override. For Enterprise or DMO customers who have executed a separate written licensing agreement, the negotiated agreement controls in the event of conflict, except where expressly stated otherwise.

2.2 Property Manager Override (Data Only). Notwithstanding anything to the contrary in any previously executed Property Manager Data License or similar agreement, the definition, scope, and categories of Customer Shared Data and all related collection, receipt, storage, and processing authorizations shall be governed solely by these Terms and supersede any conflicting language in any prior Property Manager agreement.

3. Customer Shared Data (Property Managers Only)

“Customer Shared Data” means any and all data, content, information, or materials that a Property Manager’s PMS, CRM, or other system makes accessible to Key Data through an integration, API connection, token‑based connection, or data feed authorized by the Property Manager.

This authorization automatically covers all fields made available by the PMS, including, without limitation:

• Reservation data (dates, charges, status, occupancy, source, fees)

• Property data (addresses, amenities, descriptions, photos, URLs)

• Operational data (rates, calendars, availability, performance metrics)

• Any additional or future fields made accessible through the PMS integration or connection.

Collection, ingestion, and storage of Customer Shared Data are authorized to the fullest extent of what the PMS provides.

Key Data may also collect and store Guest Personal Data as part of the Customer Shared Data made available by the PMS integration. However, Key Data will not use, disclose, or share Guest Personal Data with any third party unless the Property Manager explicitly

provides a separate written authorization identifying the specific purpose and destination of the data.

Key Data may use Customer Shared Data to create aggregated, anonymized, de-identified, or statistical datasets and may use, publish, distribute, commercialize, license, or otherwise exploit such datasets without restriction. Such datasets will not be provided in a form that reasonably enables a third party to isolate, identify, or reverse engineer Customer’s specific property-level data from the dataset. Key Data retains all rights in any aggregated, anonymized, de-identified, or statistical datasets or products.

4. License Grant

Key Data grants Customer a limited, nonexclusive, non-transferable license to access and use the Services. Customer may not reproduce, modify, or create derivative works from the Services or Key Data output except as expressly permitted in writing.

5. License Restrictions

Customer shall not, and shall not permit any third party to:

• Reverse engineer, decompile, extract, or attempt to derive datasets, methodologies, or models from the Services or Key Data output.

• Publish, distribute, resell, sublicense, transmit, or otherwise make available any Key Data output to any third party without written authorization.

• Use the Services or Key Data output for the benefit of any third party, including for consulting, reporting, or analytics services, unless authorized by Key Data.

• Use the Services to develop, train, or enhance any competing analytics, benchmarking, or data product.

6. Security

Key Data uses commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Shared Data. Customer is responsible for securing credentials and controlling access to integrated systems.

7. Suspension

Key Data may suspend access for material breach, security concerns, nonpayment (where applicable), or misuse of API/data services.

8. Intellectual Property

Key Data retains all rights, title, and interest in the Services, datasets, methodologies, and aggregated/anonymized outputs. No rights are granted except those expressly stated.

9. Limitation of Liability

Key Data disclaims all implied warranties to the extent permitted by law. Key Data is not liable for indirect, incidental, consequential, or punitive damages. Liability is limited to the amount paid in the prior 12 months, excluding cases of gross negligence or willful misconduct.

10. Modifications

Key Data may update these T&Cs and will post the updated version at the URL. Continued use of the Services constitutes acceptance of the updated T&Cs.

11. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action must be brought exclusively in state or federal courts located in Delaware.

12. Disclaimers

Services are provided “as-is” without warranties. Key Data does not guarantee accuracy, completeness, or uninterrupted availability of the Services.

13. Entire Agreement

These Terms govern Customer’s use of the Services unless superseded by a signed agreement between Customer and Key Data, subject to Section 2.2 for Property Manager customers.
